1. Agreement to these terms
These Terms of Service (the "Terms") govern your access to and use of the website at thereframe.ai (the "Site"), operated by Reframe, Inc. ("Reframe", "we", "us"), headquartered in New York, NY. By using the Site you agree to these Terms. If you do not agree, do not use the Site.
2. What the Site is
The Site describes the Reframe platform and lets you request demos and briefings, read our writing, and contact us. Access to the Reframe platform itself is not granted through the Site. Platform access is governed by a separate written agreement between Reframe and the customer, and if these Terms ever conflict with that agreement, the customer agreement controls for the platform.
3. No legal advice
Reframe builds software for legal teams, but nothing on the Site is legal advice, and reading it does not create an attorney-client relationship with anyone. Content on the Site is general information about our products and point of view. For legal advice, consult your own counsel.
4. Intellectual property
The Site and everything on it, including text, graphics, diagrams, logos, page designs, and software, are owned by Reframe or its licensors and protected by intellectual property laws. "Reframe" and the Reframe marks may not be used without our prior written permission.
We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own business evaluation and informational purposes. No other rights are granted.
5. Acceptable use
You agree not to:
- Use the Site in violation of any applicable law or regulation
- Interfere with or disrupt the Site, its infrastructure, or its security features
- Probe, scan, or test the vulnerability of the Site without our written authorization
- Scrape, harvest, or bulk-download Site content, or use automated systems to access the Site in a way that sends more requests than a person could reasonably produce
- Misrepresent your identity or affiliation when contacting us or requesting a demo
- Frame or mirror the Site, or remove any proprietary notices from Site content
6. Submissions
Information you send through the Site, such as a demo request, should be accurate and should not include anything confidential or privileged. Handling of personal information you submit is described in our Privacy Policy. If you send us ideas or feedback about our products, you agree we may use them without restriction or compensation.
7. Third-party links
The Site may link to third-party websites and services. We do not control them and are not responsible for their content, policies, or practices. Links are provided for convenience, not endorsement.
8. Disclaimers
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Reframe disclaims all warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, or error free, or that its content is complete or current.
9. Limitation of liability
To the fullest extent permitted by law, Reframe and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total liability arising out of or relating to the Site will not exceed one hundred US dollars. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Reframe from claims, damages, liabilities, and expenses, including reasonable attorneys' fees, arising out of your misuse of the Site or your violation of these Terms.
11. Governing law and venue
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.
12. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the effective date above, and for material changes we will provide a more prominent notice on the Site. Your continued use of the Site after an update means the revised Terms apply.
13. General
If any provision of these Terms is found unenforceable, the rest remain in full effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and Reframe regarding the Site. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
